         Bank, F.A. v. Rhetta Sweeney et al., United States Court
         of Appeals for the First Circuit. Nos. 97-1383 and 97-1417.

Dear Judge Mazzone:

        As you requested in our telephone conservation yesterday, I have conferred with the Federal Deposit Insurance Corporation's business and legal employees in Hartford and Washington, D.C. The Federal Deposit Insurance Corporation, as Receiver of ComFed Savings Bank, F.A. (the "FDIC") reaffirms its interest in resolving the above- referenced litigation and satisfying the outstanding judgment against Rhetta and John Sweeney, individually and in their capacities as trustees (the "Sweeneys") through payment by or on behalf of the Sweeneys.

        Both before and during the current litigation, the FDIC made such proposals to the Sweeneys. Most recently, by letter to you dated August 18, 1997, the FDIC made a specific financial proposal for resolving these matters. The FDIC remains willing to consider a proposal which would involve payment to the FDIC by or on behalf of the Sweeneys.
